Please copy this file
[MAGENTO_DIR] / app / design / frontend / base / default / template / newsletter /subscribe.phml

to new folder
[MAGENTO_DIR] / app / design / frontend / default / [TEMPLATE_NAME] / template / newsletter / subscribe.phml

and you can change it if your need.
